Terms of Service
Last updated: 2 June 2025. These terms govern your use of cognitech.life and general engagement with CogniTech Pte. Ltd. Specific client projects are subject to separate written agreements.
1. Agreement
By accessing cognitech.life or submitting an enquiry, you agree to these Terms of Service. If you do not agree, please discontinue use of the website. CogniTech Pte. Ltd. (UEN 201639482D) is a company incorporated in Singapore with its principal place of business at 1 Fusionopolis Place, #03-20, Singapore 138522.
2. Website use
You may use this website for lawful business purposes only. You must not:
- Attempt unauthorised access to our systems or data
- Transmit malware, spam, or harmful code
- Scrape or reproduce content at scale without written permission
- Misrepresent your affiliation with CogniTech
3. Information and proposals
Content on this website — including solution descriptions, pricing ranges, timelines, and certifications — is provided for general information. It does not constitute a binding offer. Formal proposals, statements of work, and master service agreements supersede website content where they differ.
4. Intellectual property
All website content, trademarks, CogniTech solution references (including CT-001 through CT-008), frameworks, and materials are owned by CogniTech or its licensors. You may not copy, modify, or distribute materials without prior written consent, except for limited personal or internal evaluation purposes.
5. Client engagements
Professional services are delivered under separate contracts defining scope, fees, acceptance criteria, confidentiality, and intellectual property ownership. Unless otherwise agreed in writing:
- Client retains ownership of client data and pre-existing intellectual property
- CogniTech retains ownership of its methodologies, connectors, and pre-existing tools
- Custom deliverables are licensed or assigned as specified in the project agreement
6. Confidentiality
Information shared during discovery, pilots, or delivery is treated as confidential by both parties, subject to standard exceptions (public domain, independent development, legal compulsion). Mutual non-disclosure terms in project agreements prevail over this section where applicable.
7. Warranties and liability
The website is provided “as is” without warranties of uninterrupted access or error-free content. To the fullest extent permitted by Singapore law, CogniTech excludes liability for indirect, consequential, or punitive damages arising from website use. Our aggregate liability for website-related claims is limited to SGD 500 unless a higher amount is mandated by law.
Service delivery warranties and liability caps are defined in project contracts, not these website terms.
8. Third-party services
Our solutions may integrate with third-party platforms (ERP, CRM, cloud providers). Your use of those platforms remains subject to their terms. CogniTech is not responsible for third-party outages, policy changes, or licensing costs.
9. Governing law and disputes
These terms are governed by the laws of Singapore. Parties submit to the exclusive jurisdiction of the Singapore courts. We encourage good-faith negotiation before formal proceedings.
